Contractual terms for using EnglishPro.

1. Scope and description of services
These terms govern the use of the EnglishPro online language learning platform operated by DL Integrated Services.
Services include access to digital learning content, speaking and writing exercises, AI-assisted feedback and, where applicable, teacher-led online classrooms.
2. Registration and account requirements
A user account is required. Information provided must be complete and accurate.
Credentials are confidential and must not be shared. Each account may be used by one person only.
3. Pricing and payment terms
The prices displayed at the time of ordering apply. All prices are exclusive of applicable taxes unless stated otherwise.
Fees are billed in advance via the payment provider Lemon Squeezy, or by invoice for corporate clients.
4. Subscription duration
Subscriptions run for the selected term and renew automatically unless cancelled in time.
5. Cancellation and pause conditions
Subscriptions may be cancelled with effect from the end of the current billing period. [Notice period to be confirmed after legal review.]
Access may be paused by agreement; details depend on the individual contract.
6. Limitation of liability
Except in cases of intent, gross negligence, or injury to life, body or health, the liability of DL Integrated Services is capped at the fees paid during the twelve (12) months preceding the event giving rise to the claim.
7. Business customers only
The service is offered exclusively to business customers (Unternehmer) and legal entities. No contracts are concluded with consumers.
As no consumer contract is formed, the statutory 14-day right of withdrawal does not apply.
8. Intellectual property
All course content, texts, exercises, audio files and software remain the property of DL Integrated Services.
Clients receive a limited, non-transferable, non-sublicensable licence to access the content for internal use during their subscription. Copying, redistribution or public sharing is prohibited.
9. Governing law and jurisdiction
These terms are governed by the laws of [jurisdiction to be confirmed after legal review], excluding the UN Convention on Contracts for the International Sale of Goods.
